Voting Rights and Capital



In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:



The Company's capital consists of 59,475,034 redeemable participating preference
shares of 0.01p each designated as zero dividend preference ('ZDP') shares and
95,787,049 redeemable participating preference shares of 0.01p each designated
as equity shares.  No shares are held in Treasury.



Therefore the total number of voting rights in the Company is 59,475,034 for the
ZDP share class and 95,787,049 for the equity share class.



The above figures (59,475,034 for the ZDP share class and 95,787,049 for the
equity share class) may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rules.
