In accordance with rule 5.6 of the FSA's Disclosure and Transparency Rules, the
Company advises that its issued share capital comprises 285,298,356 Equity
shares of 0.01p each, 59,471,659 Zero Dividend Preference shares of 0.01p each.
The voting rights of all these shares are identical with each share, carrying
the right to one vote. The Company holds no shares in Treasury.



Therefore the number of voting rights in the Company is 285,298,356 for the
Equity share class, and 59,471,659 for the Zero Dividend Preference share class.



The above figures may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in Bear Stearns Private Equity
Limited under the Disclosure and Transparency Rules.
