The following replaces the 'AGM Statement' announcement released on 3 February
2006 at 17:12 hrs under RNS number: 9362x.
A paragraph has been included indicating that resolutions 10 and 11 were
withdrawn from the Annual General Meeting held on 3 February 2006.
Further, an additional resolution has been included to reflect the shareholders
approval of resolution 12 to change the name of the Company.

AGM STATEMENT
JPMORGAN FLEMING ASIAN INVESTMENT TRUST PLC
('The Company')
3RD FEBRUARY 2006
Following the Annual General Meeting of the Company, which was held today, the
Board is pleased to announce that all of the Ordinary Resolutions put to
shareholders were passed. In addition, three Special Resolutions were passed
which:
i) will allow the Company to make market purchases of up to 24,613,453
ordinary shares, representing 14.99% of the Company's issued share
capital;
ii) will allow the Company to disapply pre-emption rights on allotment of
new ordinary shares;
iii) change the Company's name to 'JPMorgan Asian Investment Trust plc'.
Despite a clear majority of shareholders being in favour of the proposal to
re-issue shares held in treasury at a discount to net asset value, the majority
was insufficient to achieve the requisite 75% of those voting to carry a Special
Resolution. Therefore, with the consent of the meeting, resolutions 10 and 11,
as set out in the Notice of Meeting, were withdrawn.
The change of Company name will become effective on the issue of the certificate
of incorporation on change of name by the Registrar of Companies and a further
announcement will follow in this respect.
