STOCK EXCHANGE ANNOUNCEMENT

JPMORGAN OVERSEAS INVESTMENT TRUST PLC

RESULT OF AGM AND STATEMENT RE CURRENCY HEDGING

Following the Annual General Meeting of the Company, which was held yesterday, the Board is pleased to announce that all of the Ordinary Resolutions put to shareholders were passed. In addition, three Special Resolutions were passed which:

• will allow the Company to disapply pre-emption rights on the allotment of ordinary shares; 

      ii. will allow the Company to make market purchases of up to 3,998,874 ordinary shares 
          representing 14.99% of the Company's issued share capital for each share class; and

     iii. will allow the Articles of Association signed by the Chairman to be adopted as the new 
          Articles of Association of the Company in substitution for, and to the exclusion of, the 
          existing  Articles of Association, with effect from the conclusion of the 2008 Annual General 
          Meeting.

The special resolutions, which were passed at the Annual General Meeting, have been lodged with the UK Listing Authority. These will be available shortly through the UK Listing Authority's Document Viewing Facility, which can be found at The Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS.

A Summary of proxy votes received will shortly be available on the Company's website, www.jpmoverseas.co.uk.

The Board further announces that it has agreed to implement a passive currency hedging strategy for the portfolio to neutralise active currency positions relative to the Company's benchmark, the MSCI World AC Index.
