                           APPOINTMENT OF DIRECTORS



The Board of The Fleming Overseas Investment Trust plc is pleased to announce
the appointment of John Rennocks and Richard Barfield as non-executive
directors with effect from 1st November 2001.



Mr Rennocks is a Chartered Accountant and a non-executive director of Foreign
and Colonial Investment Trust plc and was formally the Finance Director of
Corus Group plc (formerly British Steel) until March 2001.



Mr Barfield holds a number of appointments including a directorship of Equitas
and was formerly Chief Investment Manager for Standard Life.



There are no further details requiring disclosure under paragraph 16.4 of the
FSA Listing Rules.
