JPMORGAN OVERSEAS INVESTMENT TRUST PLC

(the "Company")

CONVERSION OF SUBSCRIPTION SHARES

The Board of JPMorgan Overseas Investment Trust plc announces that the Company will issue 547,040 Ordinary shares following the exercise of conversion rights by Subscription shareholders.

Application is being made for the new Ordinary shares to be admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the main market for listed securities of the London Stock Exchange.  Dealings in the new Ordinary shares are expected to commence on 8th May 2015 ('Admission').

Following Admission, the shares in issue following this notification will be 27,096,058 Ordinary shares (including 3,867,051 Ordinary shares held in Treasury), and 3,885,042 Subscription shares.
