                   THE FLEMING OVERSEAS INVESTMENT TRUST PLC

                 REPURCHASE OF ORDINARY SHARES FOR CANCELLATION


The Fleming Overseas Investment Trust plc announces that on Thursday 18th April
2002, in the market they purchased for cancellation 875,000 ordinary shares at
510p per share representing 1.2% of the ordinary shares in issue.

The remaining shares in issue following this repurchase total 71,627,065.
