                           RETIREMENT OF DIRECTORS



The Fleming Overseas Investment Trust plc announces that John Evans, Chairman,
and Sam Stevenson, Director, intend to retire after the Annual General Meeting
to be held on Tuesday 30th October 2001.

George Paul, an existing Director of the Company, will assume the role of
Chairman with effect from Wednesday 1st November 2001.
