VOTING RIGHTS AND CAPITAL

JPMORGAN OVERSEAS INVESTMENT TRUST PLC

In conformity with the Transparency Directive we would like to notify the market of the following:

As at 31^st January 2012 JPMorgan Overseas Investment Trust plc's capital consists of 26,174,698 ordinary 25 pence shares. The Company holds 271,520 shares in Treasury.

On a poll, every member shall have one vote for every £1 nominal share capital of which he/she is the holder. 

Therefore, the total number of voting rights in JPMorgan Overseas Investment Trust plc as at 31^st January 2012 is 6,475,794.

The above figure (6,475,794) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, JPMorgan Overseas Investment Trust plc under the FSA's Disclosure and Transparency Rules.
