VOTING RIGHTS AND CAPITAL

JPMORGAN OVERSEAS INVESTMENT TRUST PLC

In conformity with the Transparency Directive we would like to notify the market of the following:

As at 31 March 2014, JPMorgan Overseas Investment Trust plc's capital consists of 26,451,908 ordinary 25 pence shares and 4,529,192 subscription shares of 0.01 pence each. The Company holds 2,903,493 ordinary shares in Treasury.

On a poll, every member shall have one vote for every £1 nominal ordinary share capital of which he/she is the holder. 

Therefore, as at 31 March 2014, the total number of voting rights in JPMorgan Overseas Investment Trust plc is 5,887,103.

The above figure (5,887,103) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, JPMorgan Overseas Investment Trust plc under the FCA's Disclosure and Transparency Rules.
