               PROPOSED BONUS ISSUE OF SUBSCRIPTION SHARES

The Board of JPMorgan Fleming Japanese Smaller Companies Investment Trust plc is considering    bonus issue of subscription shares to shareholders. The Board believes that, over the longer term, investment in Japan will deliver strong capital growth and that subscription shares represent an attractive option for shareholders to subscribe in the future for further ordinary shares in the Company.
