VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive the Company would like to notify the market of the following:
As at 30th September 2010 the Company's share capital consists of 39,870,119 Ordinary 10 pence shares, carrying one vote each and 7,238,177 Subscription shares of 1 pence each with no voting rights, although these shares are considered "Financial Instruments with similar economic effect to Qualifying Financial Instruments" in accordance with DTR 5. The Company holds 419,500 Ordinary shares in Treasury. Therefore as at 30th September 2010, the total number of voting rights for Ordinary shareholders in the Company is 39,450,619.
For shareholders who hold both Ordinary and Subscription shares, the total number of voting rights (including Financial Instruments with similar economic effect to Qualifying Financial Instruments) in the Company is 46,688,796.
The above figures (39,450,619 for Ordinary shareholders and 46,688,796 for Ordinary and Subscription shareholders) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to, their interest in the Company under the FSA's Disclosure and Transparency Rules.
