TOTAL VOTING RIGHTS

In conformity with the Transparency Directive the Company announces that as at 31 August 2016 the Company's share capital consists of 48,139,114 Ordinary 10 pence shares, carrying one vote each and 7,805,446 Subscription shares of 0.1 pence each with no voting rights. The Company also holds 439,500 shares in Treasury. 

Therefore, as at 31 August 2016, the total number of voting rights for Ordinary shareholders in the Company is 47,699,614.

The above figure (47,699,614) may be used by Ordinary shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Rules and Transparency Rules.
