                     STOCK EXCHANGE ANNOUNCEMENT

               THE FLEMING JAPANESE INVESTMENT TRUST PLC

At the Annual General Meeting of the Company, which was held on Thursday 19th
December 2002, the Board are pleased to announce that all the resolutions put to
shareholders were passed, including the special resolution which will allow the
Company to make market purchases of ordinary shares up to a maximum number of
28,153,006 ordinary shares representing 14.99% of the Company's issued ordinary
share capital as at 19th December 2002.
