          AMENDMENT TO THE ARTICLES OF ASSOCIATION
                       
At an Extraordinary General Meeting held earlier today a
special resolution, as set out in the Notice of Meeting
dated 28th January 2000, was passed, amending the Company's
Articles of Association. The result is that, at the time of
purchase, no holding in a single company should represent
more than 15% by value of the Company's investments.  This
brings the Company's Articles in line with the Income and
Corporation Taxes Act 1988.
