                   CONTINUATION OF THE COMPANY AND
                      SHARE BUY BACK AUTHORITY
                                  

At  the  Annual  General  Meeting of The Fleming  Smaller  Companies
Investment  Trust plc held today an ordinary resolution  was  passed
enabling  the  Company to continue in existence for a further  three
year period.

In  addition authority was given for the Company to purchase  up  to
3,997,261  of  its own shares (representing 14.99% of the  Company's
issued share capital) for cancellation.
