Proposed secondary placing of shares in Just Retirement Group plc
Avallux S.à r.l. ("Avallux"), announces today its intention to sell up to approximately 50 million ordinary shares of Just Retirement Group plc ("Just Retirement" or the "Company") (the "Placing Shares"), representing up to 10 per cent. of the Company's existing issued ordinary share capital, through a placing to institutional investors (the "Placing").
The Placing Shares will be offered to institutional investors (the "Placees") through an accelerated bookbuild to be carried out by Deutsche Bank and Nomura International plc acting as joint bookrunners (the "Offering"). The books for the Offering will open with immediate effect.
Avallux has agreed that it will not, for a period of 90 days following the completion of the Placing, offer, sell or otherwise transfer any shares from its remaining shareholding in Just Retirement without the consent of Deutsche Bank and Nomura International plc (subject to customary exceptions). Following completion of the Placing, if all the ordinary shares available in the Offering are sold, Avallux will hold approximately 52 per cent. of the Company's issued share capital.
The sale is subject to prevailing market conditions. The identity of Placees and the basis of the allocations are at the discretion of Avallux, Deutsche Bank and Nomura International plc. The price at which the Placing Shares are to be placed will be agreed by Avallux, Deutsche Bank and Nomura International plc at the close of the bookbuilding process. The details will be announced as soon as practicable after the close of the bookbuilding process.
