K3's issued capital comprises 19,487,271 shares of common stock of par value 25p
each. All of these shares carry voting rights.


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, K3 under the FSA's Disclosure and
Transparency Rules.
