Results of General Meeting and Total Voting Rights
Further to the Company's announcements of 13 September 2021 and 15 September 2021, Kape (AIM: KAPE), the digital security and privacy software business, announces that all resolutions proposed at the general meeting held earlier today were duly passed.
Further to the passing of Resolution 1, application has been made for 76,543,209 new Ordinary Shares of US$0.0001 each ("Ordinary Shares") to be issued pursuant to the placing and the retail offer (the "Fundraising Shares"), to be admitted to trading on the AIM market of the London Stock Exchange and it is expected that admission will take place and trading in the Fundraising Shares will commence on 4 October 2021 ("Admission").

Notes:
1. Any proxy appointments which gave discretion to the Chairman have been included in the "for" total.
2. As at 5.00 p.m. on 13 September 2021, the Company's issued share capital at the date of the meeting was 234,421,458 Ordinary Shares. There are now 9 ,820,501 Ordinary Shares held in treasury and 600,000 Ordinary Shares held by the Kape Technologies Plc Employee Benefit Trust, the voting rights to which have been waived. Therefore, the total number of voting rights at the date of the meeting was 224,000,984.
Total Voting Rights
Following Admission of the Fundraising Shares, the total number of voting rights in Kape will be 300,544,193, which is the figure which should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Ordinary Shares under the FCA's Disclosure and Transparency Rules.
The Company holds 9,820,501 Ordinary Shares in treasury and the Kape Technologies plc Employee Benefit Trust holds 600,000 Ordinary Shares, the voting rights to which have been waived. Therefore, following Admission of the Fundraising Shares , the Company's issued share capital will consist of 310,964,694 Ordinary Shares.
