Keller Group plc ('Keller')



Further to its announcement on 18 November 2002 of its joint venture in Spain,
Keller-Terra, Keller announces that the agreement has today become
unconditional.   Accordingly, application has today been made by Keller to the
UK Listing Authority for 3,029,000 Ordinary Shares of 10p each ('New Ordinary
Shares') to be admitted to the Official List as consideration for Keller's 51
per cent stake in Keller-Terra.  Application has also been made to the London
Stock Exchange plc for the New Ordinary Shares to be admitted to trading on the
London Stock Exchange plc's market for listed securities.



It is expected that admission to the Official List and dealings in the New
Ordinary Shares will commence on 11 December 2002.
