                             Directors Shareholding

Keller Group was advised on 12 March 2003 that Terratest Tecnicas Especiales SA
('Terratest') had purchased 20,000 ordinary shares in the Company at a price of
245p per share on that day. Terratest is a connected person of Mr Pedro Lopez
Jimenez, a non-executive director of Keller Group plc. In addition, the Company
was advised on 13 March 2003 that Terratest, had purchased a further 100,000
ordinary shares in the Company at a price of 240p per share on 13 March 2003.

Following these purchases the holding of Terratest in ordinary shares of the
Company is 3,149,000, representing 4.85% of the Company's issued share capital.
