   Purchase of Keller Group plc Ordinary shares by Employee
                         Benefit Trust
                               
On 15 December 1999 Guinness Flight Trustees S.a.r.l., the
Trustee of the Keller Group plc Employee Benefit Trust
('EBT'), purchased 108,000 Keller Group plc Ordinary Shares of
10p at a price of 272 pence per share.  The purchase
represents 0.190% of Keller Group's ordinary share capital.

The beneficiaries of the EBT are employees who are members of
the Keller Group plc Deferred Annual Bonus Scheme ('the
Scheme').  Certain of the Company's Executive Directors are
members of the Scheme and as potential beneficiaries have, to
that extent, an interest in the shares acquired by the EBT and
not allocated.  The Directors concerned are Thomas Dobson,
Klaus Kirsch, Michael W.C. Martin and Justin R. Atkinson.
