RE: Brochure of Particulars



Application has been made to the Irish Stock Exchange and to the UK Listing
Authority for 66,672,474 Ordinary Shares of nominal value €0.06 each in the
capital of Kenmare ('Shares') and for 10,059,144 Warrants ('New Warrants') to be
admitted to the Official List of the UK Listing Authority and to the Official
List of the Irish Stock Exchange and application has been made to the London
Stock Exchange for these Shares and New Warrants to be admitted to trading.
Such admission is expected to become effective and dealings to commence in these
Shares and New Warrants at the start of business on 10 November, 2004





40,380,576 of the Ordinary Shares and the 10,095,144 New Warrants are being
issued as the final component of the Supplemental Placing as the referred to in
the listing particulars issued by the company dated 21 June 2004 ('Listing
Particulars') and as detailed in the announcement dated 02 November 2004 and
26,291,898 of the Ordinary Shares are being issued to the Lenders in accordance
with the terms of the Loan Agreements as the referred to in the Listing
Particulars.  The Shares and New Warrants are being issued on the same terms as
those issued under the Placing and Open Offer described in the Listing
Particulars.  Following this issue, the number of Ordinary Shares in issue in
the Company is 645,975,249 and the number of New Warrants in issue is
82,797,906.



Terms defined in the Listing Particulars dated 21 June, 2004 have the same
meaning in this announcement
