Dear Sirs,
 
The Articles of Association of Kerry Group plc stipulate that any Director,
who being a Director of Kerry Co-operative Creameries Limited, resigns or
otherwise vacates his seat on the Board of Kerry Co-operative Creameries  
Limited, shall cease to be a Director of Kerry Group plc.
 
As Mr. Daniel O'Sullivan has now vacated his Board position in Kerry
Co-operative Creameries Limited he accordingly ceases to be a Director
of Kerry Group plc with effect from 15 December 2000.
