      Issue of Ordinary Shares Pursuant to Acquisition of Golden Vale plc


Application has been made to the Irish Stock Exchange and the UK Listing
Authority for admission to the Official List of the Irish Stock Exchange and the
Official List of the UK Listing Authority of 485,608 Ordinary Shares of nominal
value €0.125 each. Application has also been made to the Irish Stock Exchange
and London Stock Exchange for the admission of these shares to trading. These
shares have been allotted pursuant to the acquisition by Kerry of Golden Vale
plc.


Following this application, the total number of Kerry Group plc Ordinary Shares
in issue will be 185,023,845.
