Re:     Directors Dealings

As a result of the recent share exchange between Kerry Co-operative Creameries
Ltd and Kerry Group plc the shareholdings of the non-executive Directors of the
Company have changed and details are set out on the attached appendix.

Kerry Co-operative Creameries Ltd held 64.14 million A Ordinary shares of €0.125
each in Kerry Group plc representing 35% of the issued share capital.  It
recently transferred 6.42 million of these shares to its own members in
consideration for the cancellation of 10% of the share capital held by them
respectively in the Society.  This has reduced Kerry Co-operative Creameries Ltd
shareholding in the Company to 57.72m or 31% of the issued share capital.  As a
result of this exchange the Directors whose names are set out on the appendix
attached (who are shareholders of Kerry Co-operative Creameries Ltd) have
increased their shareholding in the Company.  No cash consideration was
involved.
