Block Admission

The Company announces that an application has been made for a block admission to trading on AIM in respect of 300,000 ordinary shares of 1p each ("New Ordinary Shares") in the share capital of the Company (the "Block Admission").  It is expected that the Block Admission will become effective on 3 June 2024.

 

The New Ordinary Shares will be issued from time to time pursuant to the Company's Long-Term Incentive Plan.

 

When issued, the New Ordinary Shares will be credited as fully paid and will rank pari passu with the existing ordinary shares of the Company.

 

The Block Admission is considered adequate for anticipated exercises of options under the Incentive Schemes for the foreseeable future.

 

As at 29 May 2024, the Company's issued share capital consisted of 79,709,186 ordinary shares of 1p each with voting rights. The Company's issued share capital will not change as a result of the Block Admission. The Company does not hold any ordinary shares in Treasury.

 

There are 1,020 Ordinary Shares in the Company's Employee Benefit Trust ("EBT"), and the EBT has waived its right to exercise its voting rights and to receive dividends in respect of these Ordinary Shares.

Therefore, the number of Ordinary Shares with voting rights is 79,708,166. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Financial Conduct Authority's DTR.
