NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS 

Award of LTIPs

Keywords Studios, the international technical services provider to the global video games industry, today announces that, under the terms of the Keywords Studios Long Term Incentive Plan, conditional awards of shares ("LTIPs") were granted on 19 May 2023 to the below participants. 

The LTIPs will normally vest on 19 May 2026. Vesting of the LTIPs are conditional on continued employment and the achievement of performance conditions approved by the Remuneration Committee of the Company, based on the Company's Total Shareholder Return ("TSR") versus the FTSE 250 Index (excluding investment trusts) (the "Index") over the 1 January 2023 - 31 December 2025 performance period. Threshold vesting (25% of the award) will vest for TSR in line with the Index and full vesting will be earned for exceeding the Index TSR by 20% over the 3-year performance period.
