  Issue of Shares

Further to the announcement on 15 December 2020, Keywords Studios, the international technical and creative services provider to the global video games industry, today announces the issuance of 307,597 new ordinary shares to the vendors of High Voltage Software, Inc. ("High Voltage") in respect of the initial share consideration due within 30 days of High Voltage being acquired.   The 307,597  new ordinary shares will be subject to a one-year lock-in period and orderly market provisions for a further period.   Subject to performance targets and other conditions being met on or prior to 31 December 2021, further consideration of up to US$16.5m, in a mix of cash and new ordinary shares, will become payable to the vendors of High Voltage.  

Since the acquisition, the shares to be issued relating to High Voltage have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used. 

Application has been made to the London Stock Exchange for the admission of 307,597 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8:00am on 12 January 2021.  The Company's total issued share capital following admission will consist of 74,386,840 ordinary shares of one pence each with one voting right per share.  The figure of 74,386,840 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
