Issue of Shares
Keywords Studios, the international technical and creative services provider to the global video games and entertainment industries, today announces the issuance of 191,722 new ordinary shares to the vendors of Tantalus Media Pty Ltd ("Tantalus") in respect of the share element of contingent consideration due based on the performance of Tantalus over the 24-month period post-completion.
Application has been made to the London Stock Exchange for the admission of these 191,722 new ordinary shares to trading on AIM. Admission of the new shares is expected to take place at 8:00am on 15 June 2023.
The Company's total issued share capital following admission will consist of 79,084,617 ordinary shares of one pence each with one voting right per share. There are 97,372 Ordinary Shares in the Company's Employee Benefit Trust ("EBT"), and the EBT has waived its right to exercise its voting rights and to receive dividends in respect of these Ordinary Shares.
Therefore, the number of Ordinary shares with voting rights is 78,987,245. This figure may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
