On 19 December 2005 the Kier Group 1999 Employee Benefit Trust acquired through
its Trustee, RBC Trustees (Guernsey) Limited, 60,000 Ordinary Shares of 1p each
in the Company at a price of £11.47 per share for the purpose of the Kier Group
1999 Long Term Incentive Plan.

The following directors/PDMRs of the Company, being potential beneficiaries
under the Long Term Incentive Plan, are therefore interested in the shares:
