Kier Group plc announces that on 29 December 2006 Mr Michael Paul Sheffield
elected to exercise his option under the Kier Group Sharesave Scheme and was
today (15 January 2007) allotted 590 ordinary shares in the Company.

Following this transaction, Mr Sheffield's total beneficial interest in
Kier Group plc is 22,277 shares, representing 0.061% of the current issued share
capital.

The total number of ordinary shares of 1p in issue as at the date of this notice
is 36,371,400 shares, with each share carrying the right to one vote. There are
no shares held in Treasury.

The above figure may be used by shareholders to determine if they are required
to notify their interest in, or a change to their interest in, the share capital
of the Company under the Financial Service Authority's Disclosure and
Transparency Rules.
