On 15 May 2006 the Kier Group 1999 Employee Benefit Trust acquired through its
Trustee, RBC Trustees (Guernsey) Limited, 16,461 Ordinary Shares of 1p each in
the Company at a price of 1558p per share for the purpose of the Kier Group 1999
Long Term Incentive Plan.

Additionally, on 16 May 2006 the Kier Group 1999 Employee Benefit Trust acquired
through its Trustee, RBC Trustees (Guernsey) Limited, a further 5,539 Ordinary
Shares of 1p each in the Company at a price of 1556p per share for the purpose
of the Kier Group 1999 Long Term Incentive Plan.

under the Long Term Incentive Plan, are therefore interested in the shares:
