DIRECTORS/PDMR SHARE TRANSACTIONS

On 23 May 2014, the Company was informed that the trustee of the Kier Group 1999 Employee Benefit Trust elected to take up the scrip dividend alternative in relation to the shares held by the trustee on behalf of the individuals listed below under the Company's deferred shares bonus arrangements, resulting in the following directors and PDMR being allocated the following numbers of shares:

Mr S Bowcott	78 shares
Mr H J Mursell	74 shares
Mr M P Sheffield	108 shares
Mr H E E Raven (PDMR)	13 shares

The price per share for the purposes of calculating these allocations was £18.184.

Following these transactions, the total beneficial interests of, and the percentages of the issued share capital of the Company owned by, such individuals are:
