On 25 October 2005 the Kier Group 1999 Employee Benefit Trust acquired through
its Trustee, RBC Trustees (Guernsey) Limited, 75,000 Ordinary Shares of 1p each
in the Company at a price of 1070p per share for the purpose of the Kier Group
1999 Long Term Incentive Plan.

under the Long Term Incentive Plan, are therefore interested in the shares:
