Kier Group plc (the 'Company')

On 13 September 2001 Kier Group 1999 Employee Benefit Trust acquired through
its Trustee, RBC Trustees (Guernsey) Limited, 25,000 Ordinary Shares of 1p
each in the Company (the 'shares') at a price of 477p per share for the
purpose of the Kier Group 1999 Long-Term Incentive Plan (the 'L-TIP').

The following directors of the Company, being potential beneficiaries under
the L-TIP, are therefore interested in the shares:
