Kier Group plc (the 'Company')

On 16th July 2001 Kier Group 1999 Employee Benefit Trust acquired through its
Trustee, The Monument Trust Company Limited, 50,000 Ordinary Shares of 1p each
in the Company (the 'shares') at a price of 467p per share for the purposes of
the Kier Group 1999 Long-Term Incentive Plan (the 'L-TIP').

The following directors of the Company, being potential beneficiaries under
the L-TIP, are therefore interested in the shares:
