DIRECTOR'S SHARE TRANSACTIONS
On 14 November 2001, Mr D Homer was allotted 8,000 ordinary shares in the
Company following exercise of options under the Kier Group Performance Related
Option Scheme at an Exercise Price of 189.5p per share. On the same day Mr
Homer sold 8,000 shares at a price of 498p per share.
Following these transactions the beneficial holding of Mr Homer is 57,301
shares (0.17% of the issued capital).
