DIRECTOR'S SHARE TRANSACTIONS
Kier Group plc announces that on 16 May 2002 the following were allotted new
ordinary shares at a price of 638.1p per share instead of cash in respect of the
interim dividend for the year ending 30 June 2002:
Mr C R W Busby and Mrs M L Busby - 104 shares
Mr J Dodds and Mrs V Dodds - 3,849 shares
Mr M P W Scarth and Mrs E V M Scarth - 2,789 shares
Mr P T Warry - 36 shares
Following these transactions the beneficial holdings of the abovementioned
directors and their spouses were:
Mr and Mrs Busby - 601,607 shares (1.7% of the issued share capital)
Mr and Mrs Dodds - 549,891 shares (1.6% of the issued share capital)
Mr and Mrs Scarth - 407,888 shares (1.2% of the issued share capital)
Mt P T Warry - 7,033 shares (0.02% of the issued share capital)
