Kier Group plc announces that on 26 July 2002 the following acquired ordinary
shares at a price of 541p per share through re-investment of tax credits on
dividends in non-discretionary single company PEP's:

Mr C R W Busby and Mrs M L Busby - 6 shares

Mr M P W Scarth and Mrs E V M Scarth - 6 shares

The registered holder of the above shares is RBSTB Nominees Limited

Following these transactions the beneficial holdings of the abovementioned
directors and their spouses were:

Mr and Mrs Busby - 601,671 shares (1.8% of the issued share capital)

Mr and Mrs Scarth - 407,954 shares (1.2% of the issued share capital)
