DIRECTOR'S SHARE TRANSACTIONS

On 15 May 2002, Mr D Homer was allotted 58,823 ordinary shares in the Company
following exercise of options under the Kier Group Performance Related Option
Scheme at an Exercise Price of 170p per share. On the same day Mr Homer sold
58,823 shares at a price of 713p per share.

Following these transactions the beneficial holding of Mr Homer remains 57,301
shares (0.17% of the issued capital)
