Kier Group plc announces that on 28 February 2003 the following acquired
ordinary shares at a price of 458.7p per share through re-investment of tax
credits on dividends in non-discretionary single company PEPs:

Mr C R W Busby and Mrs M L Busby - 14 shares

Mr M P W Scarth and Mrs E V M Scarth - 16 shares

The registered holder of the above shares is BNY (OCS) Nominees Limited

Following these transactions the beneficial holdings of the abovementioned
directors and their spouses were:

Mr and Mrs Busby - 625,922 shares (1.8% of the issued share capital)

Mr and Mrs Scarth - 432,237 shares (1.2% of the issued share capital)
