Kier Group plc announces that on 13 December 2002 the following acquired
ordinary shares at a price of 424p per share through re-investment of dividends
in non-discretionary single company PEP's:

Mr C R W Busby and Mrs M L Busby - 118 shares

Mr M P W Scarth and Mrs E V M Scarth - 120 shares

The registered holder of the above shares is RBSTB Nominees Limited

Following this notification the holdings of the abovementioned directors and
their spouses were:

Mr and Mrs Busby - 625,853 shares (1.8% of the issued share capital)

Mr and Mrs Scarth - 432,166 shares (1.2% of the issued share capital)
