the directors of the Company, valued at 642p per share, in satisfaction of
conditional awards made under the Kier Group 1999 Long-Term Incentive Plan:

Mr R W Gregory 3,781 shares
Miss D E Mattar 3,781 shares
Mr R W Side 3,781 shares
Mr R W Simkin 3,781 shares
Following these transactions their beneficial holdings were:
Mr C R W Busby 632,121 shares 1.79% of the issued share capital.
Mr J Dodds 583,899 shares 1.65% of the issued share capital.
Mr R W Gregory 20,261 shares 0.06% of the issued share capital.
