On 17 June 2004 the Kier Group 1999 Employee Benefit Trust acquired through its
Trustee, RBC Trustees (Guernsey) Limited, 20,000 Ordinary Shares of 1p each in
the Company at a price of 630p per share for the purpose of the Kier Group 1999
Long-Term Incentive Plan (the "L-TIP").

The following directors of the Company, being potential beneficiaries under the
L-TIP, are therefore interested in the shares:
