conditional awards made under the Kier Group 1999 Long Term Incentive Plan:

Miss D E Mattar:     11,582 shares
Mr R W Side:          3,233 shares
Mr R W Simkin:        2,155 shares

Following these transactions their total shareholdings were:

Mr R W Gregory:      27,333 shares     0.08% of the issued share capital
