Kier Group plc announces that on 14 April 2005, Mr Richard William Side was
allotted 17,647 Ordinary Shares in the Company, following the exercise on that
day of options over 17,647 shares at 170p per share under the Kier Group plc
Performance Related Option Scheme.

Subsequent to this transaction Mr Side and his spouse, Mrs Elizabeth Mary Side,
each sold 1,200 shares at 895p per share, also on 14 April 2005.

Following these transactions Mr Side's total interest in Kier Group plc is
169,315 shares, representing 0.47% of the current issued capital of 35,654,457
Ordinary Shares.
