On 14 April 2005 The Company announced that Mr Richard William Side and his
spouse each sold 1,200 shares in Kier Group plc.

This is incorrect and the number of shares sold was 1,175 each. Following
adjustment for these smaller tranches of shares sold, Mr Side's total interest
in Kier Group plc is 169,442 shares, representing 0.47% of the current issued
capital of 35,686,844 shares.
