DIRECTORATE CHANGES

Kier Group plc ("Kier") announces the following changes to its board of directors (the "Board"), which are made in anticipation of the completion of its acquisition of May Gurney Integrated Services plc ("May Gurney"). May Gurney shareholders and Kier shareholders have approved the transaction and completion is expected to take place on 8 July 2013. All of these changes to the Board will take effect immediately.

The Board is introducing the role of Chief Operating Officer ("COO"), so as to further strengthen Kier's operating processes across the enlarged group and ensure that they are implemented in a cohesive and consistent way. Steve Bowcott will take up the role of COO and will be responsible for the operational efficiency of both the Construction and the Services divisions within the enlarged group.

The Group Finance Director, Haydn Mursell, will assume operational responsibility for the Property division, in addition to his current responsibilities.

As a result of these changes, Ian Lawson has today retired as a director from the Board.  Ian will, however, remain available to the business for a period of three months from today to assist with the integration of May Gurney.
