Kier Group plc (the 'Company')

On 16 March 2000, the Kier Group 1999 Employee Benefit Trust acquired through
its trustee, The Monument Trust Company Limited, 100,000 Ordinary Shares of 1p
each in the Company (the 'shares') at a price of 290p per share for the
purposes of the Kier Group 1999 Long-Term Incentive Plan (the 'LTIP').

The following directors of the Company, being potential beneficiaries under
the LTIP, are therefore interested in the shares:
